Entrepreneur Magazine has listed the top 500 franchises in the United States for 2012, including Subway,
7-Eleven, and Servpro. The number of franchises continues to grow; however, there is a lot to know before
investing money, time, and effort to own a business and ensure profitability.

Justin R. Arnold is a founding partner of Arnold Sai. Justin has represented some of the largest corporations in the world in civil actions in
state and federal courts throughout the United States involving a wide range of disputes, including tort claims, contract disputes, securities
issues, anticompetitive practices, insurance coverage, environmental claims, climate change, and employee benefits. His representation
has encompassed all aspects of complex civil litigation, including discovery, motions practice, trial preparation, and settlement negotiations.
In addition to his stellar litigation credentials, Justin also has a reputation as a savvy business lawyer, fierce negotiator, and trusted legal
advisor. He has served as general counsel for startups and small business clients responsible for a broad array of legal services, including
formation, capitalization, drafting and negotiating contracts, corporate transactions, managing intellectual property, advising on insurance
and employment law issues, and providing general business advice.
Justin also has represented multi-employer employee benefit plans in disputes arising under the Employee Retirement Income Security Act of
1974. He also has represented corporate policyholders in a variety of complex insurance coverage matters, including disputes arising out of
bodily injury caused by products, property damage caused by environmental contamination, and disputes concerning directors and officers
and errors and omissions coverage.
Justin received his B.A., magna cum laude, in Politics from Washington and Lee University, and his J.D. from Washington and Lee University
School of Law, where he served on the editorial board of the Journal of Civil Rights and Social Justice, and as an officer on the Executive
Committee of the Student Body. Prior to law school, Mr. Arnold worked for former Congressman Jim Davis of Florida, former Maryland
Governor Parris Glendening, and the Environment and Natural Resources Division of the United States Department of Justice.
Sai Pidatala is a founding partner of Arnold Sai. Sai is a seasoned corporate & commercial lawyer with experience representing large
institutional clients and smaller, more independent businesses. He has successfully represented clients ranging from multi-national
corporations, hotel chains, investment and commercial banks and investment funds/advisors to social media & tech company entrepreneurs,
franchise owners, restaurateurs, real estate professionals and entrepreneurial individuals seeking to start and operate their own businesses.
Sai has counseled clients on the formation, financing, structuring and expansion of business operations. He has advised corporate clients on
mergers & acquisitions, joint-ventures, the sale and purchase of business units and assets, the obtaining of loans and loan modifications,
immigration matters and regulatory compliance and due diligence. Additionally, Sai has assisted startups ranging from conventional business
owners to social enterprise organizations and web-based entrepreneurs in transforming their innovative ideas into structured and legitimized

Sai also maintains a vibrant cross-border practice where he advises multi-national companies, foreign governments and

foreign direct investment and doing business in foreign markets.
Sai has previously worked for large and mid-level law firms in New York and in Dubai, and prior to law school, he worked at government
agencies, non-profits and in the private sector. His previous experience includes working in Washington, D.C. with federal prosecutors at the
Criminal Section of the Civil Rights Division of the United States Department of Justice, and on Wall Street at Goldman Sachs. Sai received his
B.A., With Distinction, in Government from Cornell University. He received his J.D. from Vanderbilt Law School where he was a recipient of
the Lightfoot Franklin & White Award.
